Company Registration and Business Setup for a Zimbabwean Entrepreneur Entering Namibia

The client had been approached by a Namibian partner proposing a 50/50 joint venture.

    Headline Outcome

Corporate structure implemented. BIPA registration of the Namibian entity completed. Joint venture arrangement documented with IP protected through a separate licensing agreement. The client has a clear understanding of his ongoing compliance obligations in Namibia. The first municipal pilot contract was signed within three months of incorporation.

    The Client

A Zimbabwean entrepreneur based in Harare who had developed a water purification technology and wanted to establish a Namibian operating entity to serve municipal clients and mining operations.

    The Challenge

The client had been approached by a Namibian partner proposing a 50/50 joint venture. He had no prior experience operating in Namibia and did not know the correct structure for a foreign-owned entity or how to protect his intellectual property within the joint venture. He had received conflicting advice from two Harare-based accountants with no Namibian experience. He needed a structure that was legally sound in Namibia, protected his IP, and could be documented quickly enough to meet the prospective partner's timeline.

    Our Approach

We advised on the appropriate corporate structure under Namibian law for a foreign-owned entity, including the BIPA registration requirements and the relevant provisions of the Foreign Investment Act covering technology licensing. We drafted the terms of reference for the joint venture arrangement, protecting the client's IP through a formal technology licensing arrangement rather than a contribution of IP to the joint venture itself. We handled the full BIPA registration of the Namibian entity and advised on the Affirmative Action compliance obligations the joint venture would face as a Namibian employer.

    The Outcome

Corporate structure implemented. BIPA registration of the Namibian entity completed. Joint venture arrangement documented with IP protected through a separate licensing agreement. The client has a clear understanding of his ongoing compliance obligations in Namibia. The first municipal pilot contract was signed within three months of incorporation.
